George Minkovsky is a Managing Director at Ankura. Examples of George’s professional experience include:

  • Post-Merger & Acquisition Disputes: Analyzed net working capital adjustments, inventory valuations, breaches of representations and warranties, and material adverse effects allegations. Provided but-for valuations isolating the effects of alleged revenue overstatements and fraudulent transactions and representations.
  • Shareholder Litigation Matters and Minority Shareholder Disputes: Provided enterprise valuations. Evaluated and applied discounts for lack of control and or lack of marketability of equity securities. Allocated equity value in complex ownership structures according to contractual liquidation preferences.
  • Breach of Contract Damages analysis: Valued alternative solutions and mitigation costs to resolve damages from alleged construction delays and failures to perform and deliver according to contractual obligations.
  • Board-Led Investigations: Conducted investigations into allegations of improper revenue recognition, asset misappropriation, accounting for tooling, inventory costing, FCPA matters, related party transactions, accounting irregularities, and financial statement fraud.
  • Regulatory Inquiries and Investigations: Analyzed complex accounting and valuation issues arising from Securities and Exchange Commission (SEC), Commodity Futures Trading Commission (CFTC), and Public Company Accounting Oversight Board (PCAOB) investigations and inquiries into options backdating, accounting and auditing of derivatives such as Credit-Linked Notes (CLNs), Credit Default Swaps (CDS), Collateralized Loan Obligations (CLOs), Residential and Commercial Mortgage-Backed Securities (RMBS and CMBS).
  • Antitrust Matters: Analyzed specificity and verifiability of claimed merger efficiencies and synergies. Evaluated quality of earnings.
  • Solvency and Ability-to-Pay matters: Provided analysis of management forecasts and evaluated contemplated capital investments and ability to pay statutory fines.
  • Bankruptcy Proceedings: Assisted U.S. Trustees and Creditors’ Committees with analyses of evidence of self-dealing / alter ego / piercing of the corporate veil. Valued assets in liquidation.
  • Interest Rate “Cramdown” proceedings: Analyzed debtors’ coming out of bankruptcy plans and evaluated the appropriate interest rate.
  • Marital Dissolutions: Traced pre- and post-marital assets and provided enterprise and asset valuations.
