Experience
- Currently advising an ad hoc group of first lien term loan lenders to Wellpath, a correctional healthcare provider, on the Chapter 11 restructuring of over $600 million of indebtedness.
- Advised a group of first lien term loan lenders to a global transportation and third-party logistics provider on an out-of-court restructuring of over $1.0 billion of indebtedness.
- Advised an ad hoc group of first lien term loan lenders to Strategic Materials through a multi-pronged restructuring process. Assisted in arranging bridge financing while pursuing an out-of-court sale process, which did not receive an actionable bid. Subsequently advised the lenders on the restructuring of ~$400 million of indebtedness in Chapter 11, arranged by a $115 million priority exit term loan, in which the lenders received 96.5% of the restructured equity. Post emergence, advised the new owners on the successful sale of the business to a strategic buyer.
- Advised an ad hoc group of lenders to K&N Engineering, an auto after-market business, on the restructuring of over $400 million in debt. The lenders restructured their existing term debt and committed additional capital in exchange for control of the equity through an out-of-court transaction which achieved unanimous consent from 1L lenders, 2L lenders and equity holders.
- Advised a public company in the global e-commerce industry on a credit amendment negotiation with its bank lenders, liquidity management and business plan development.
- Advised the government of Puerto Rico on the restructuring of over $70 billion of debt in the Commonwealth’s Title III process. In conjunction with advising on the debt restructuring of the Commonwealth and the Highway & Transportation Authority (HTA), supported the government with operational matters such as development of fiscal plans, the medicaid program and liquidity management of the unemployment trust fund, among other items.
- Advised a debtor in the government contracting industry on an out-of-court recapitalization, including the restructuring of more than $350 million in debt and raising of new money financing to fund turnaround efforts. Following the restructuring, continued to advise the company on performance improvement, business plan creation and liquidity management.
- Advised Weatherly Oil & Gas in a Chapter 11 liquidation, leading the strategy and execution of the auction process for the sale of over 1,200 gas wells to roughly 10 different buyers.
