Robert J. Nowlin, Jr. (Rob) is a Managing Director at Ankura based in Chicago. He has over 14 years of financial advisory, accounting, and valuation experience. This type of work includes forensic accounting, financial investigations, restructuring litigation, business valuation, solvency analyses, financial reporting, bankruptcy, and transaction disputes. He has been involved in over 100 transactions representing over $20 billion in total enterprise value. These transactions have included management and leveraged buyouts, joint ventures, acquisitions, mergers, divestitures, and recapitalizations. He has also served as a Chief Financial Officer (CFO) for a division of a public company and a private company.

Rob’s deep experience from diverse engagements has helped clients with accounting & financial management, data analytics, forensic accounting, financial analysis & modeling, transactions, and valuation. He has experience in the following industries: Industrial Manufacturing, Healthcare, Media & Publishing, Oil & Gas, Technology, Professional/Financial Services, Automotive, and Alternative Investments in North America, South America, Europe, and Asia. Rob’s professional experience includes:

  • Assisted in the financial investigation and drafting of an expert witness report for an Alter Ego case. Analyses included a review of all financial statements, an evaluation of Alter Ego criteria, and a reconstruction of accounting records.
  • Engaged by general counsel representing a private equity firm and functioned as a forensic accountant to assist with the resolution of insolvency and bankruptcy issues, including the three standard solvency tests and determined whether “reasonably equivalent value” was paid for assets in fraudulent conveyance/transfer matters.
  • Assisted a $1.4 billion real estate asset manager to evaluate new accounting requirements under both US GAAP and IFRS for revenue recognition, consolidation, and lease accounting including full conversion from US GAAP to IFRS. This includes 135 buildings, representing approximately 15.9 million square feet of real estate in 22 states.
  • Supported a $17 billion transaction in the healthcare industry. The assistance included its full conversion from US GAAP to IFRS, including identifying accounting differences and quantification of the conversion adjustments.
  • Supported a $175 million transaction in the retail automotive service industry. The support included its full conversion from IFRS to US GAAP, application of purchase accounting, contract and software revenue recognition, multiple-element arrangements, SEC filing requirements, and the integration of accounting policies and processes.
  • Assisted with the business combination and technical accounting implications in several cross-border transactions (two mergers, 95 acquisitions, two divestitures, and five recapitalizations) with a total enterprise value of over $3 billion.
