Shishir Bhargava
Managing Director
Shishir Bhargava is a Managing Director at Ankura based in Washington, DC. He advises clients on transactions and their post-deal governance in the energy, natural resources, and technology sectors. His transaction experience includes developing deal strategies, screening investments, structuring and restructuring joint ventures, and minority equity investments. He also helps companies build transaction capabilities and negotiate better outcomes.
Experience
Prior to Ankura, Shishir worked at IBM where he led JV and partnership deals and at Hero MotoCorp of India, the world’s largest motorcycle manufacturer, which was established as a joint venture with Honda Motorcycles of Japan.
Shishir holds an MBA from the Robert H. Smith School of Business at the University of Maryland, where he graduated in the top five percent of this class, cleared the CFA Level 1, and received the academic excellence award for his outstanding academic performance. He also holds a bachelor’s degree in mechanical engineering from the National Institute of Technology in Bhopal, India.
Transaction and Restructuring Experience:
- Advised Middle Eastern metals company in structuring fifth-party $4 billion green steel JV including redlining JV agreements, developing internal positions on key deal terms (e.g., services, affiliated party transactions, transfer of interest, management appointment rights)
- Advised European renewable energy company develop JV transaction process and pre-and-post close deal requirements including preferred and red-line deal terms
- Led engagement with North American O&G company to develop restructuring options for a petrochecmical JV; developed financial model, restructuring strategy and post-close operating model, and negotiation positions; led to around $100 million overall impact for firm
- Advised Indian client to structure, develop, and build a 50-50 chemical JV which included a multi-feed cracker, associated chemical derivatives facilities, and product marketing; included defining offtake/product marketing strategy, transfer pricing of products, and operating model design
- Supported IOC and U.S Midstream company in negotiating definitive agreements for a $6 billion LNG JV; included defining overall JV operating model, governance structure, service model, and partner roles
- Supported three of the largest plastic manufactures to structure and negotiate a joint development agreement aimed at proving out and scaling a new recycling technology
- Supported almost $60 billion seven-partner Asian energy company on restructuring overall service model; developed term-sheet and facilitated multi-party negotiations, ran overall deal process which included managing stakeholders in seven oil and gas companies
- Advised IOC and oil and gas trading company in structuring and executing a minority equity investment in a renewable natural gas distribution and marketing asset owned by oil and gas trading company; helped develop overall operating model, negotiate term sheet, and develop post-close governance model
- Advised oil and gas company in negotiating and structuring JV aimed at farming out interest in concession; included defining overall midstream strategy for the JV, provided PMP support, and define partner roles post-close
- Advised on litigation and restructuring of a 50-50 owned chemical production facility, including changing overall operating model
- Led transaction to establish third-party NewCo to commercialize nascent smart healthcare technology
Post-Close JV Management and Governance:
- Supported Middle Eastern oil and gas company in establishing JV portfolio and asset management processes including but not limited to JV strategy development, asset management organization design and KPI setting, internal reporting process and KPIs, and partner influencing
- Supported a global chemical company in translating its strategy into actionable KPIs for its largest JV which accounted for almost 50% of company revenue
- Advised integrated oil and gas company with almost 80 JVs develop strategy, governance, and transaction capabilities
- Restructured overall governance and oversight model of Middle Eastern national oil company with more than 20 JVs, including almost three chemical JVs, and more than $2 billion in income from its JV portfolio
- Conducted governance review of one of the largest global LNG JVs; two out of three recommendations adopted by JV board
- Developed board director training and briefing materials for four Aerospace and Defense JVs
Shishir has authored more than 10 articles and whitepapers related to joint ventures and partnerships published in magazines and journals such as the Harvard Business Review, Oil, Gas, and Energy Law Journal, Harvard Law School Forum For Corporate Governance, Journal of World Energy Law, and the Corporate Board Magazine.
