Charles Pease is a Senior Director at Ankura. He has advised clients through some of the most complex matters involving operational improvements, debt restructurings, M&A, divestitures, consensual foreclosures, receiverships, and chapter 11 bankruptcy. He is based in Dallas.
Experience
Charles has advised small and large-cap public and private companies, corporate boards, special committees, lenders and creditor committees in situations involving distressed companies with a strong focus in the distressed U.S. healthcare and senior housing markets. He has experience leading robust, complicated engagements, operational improvements, preparing cash flow projections and business plans, evaluating solvency and liquidity, negotiating with internal and external stakeholders, and conducting financial and operational due diligence assignments on behalf of clients.
Charles’s previous engagement accomplishments received recognition including Turnaround Atlas Awards Pre-Pack Restructuring of the Year, TMA Turnaround of the Year Award in the non-profit category, and M&A Atlas Award for Healthcare Deal of the Year.
Charles’s notable restructuring experience includes the following:
- Restructuring advisor to a Federally Qualified Health Center that included over 20 primary care clinics that served over 90 thousand patients, facing over $100 million in liabilities with cash degradation reaching over $20 million per year. Developed bottoms-up financial turnaround business model and led the efforts of executing such plan which ultimately led to the company reaching a status of operationally break-even. Managed the chapter 11 bankruptcy process and negotiated with external stakeholders. Advised the board on various strategic alternatives that ended with the company selling its assets to a financially viable non-profit organization with similar culture and mission.
- Project manager in support of the chief restructuring officer during the restructuring, divestiture, and membership substitution of six nonprofit continuing care retirement communities with $800 million in assets. Focused on liquidity forecasting, business plan development, negotiations with secured bondholders, and preparation and management of the chapter 11 process and successful §363 asset sale. The process concluded with no impairment of any kind to the company’s residents.
- Restructuring advisor to a publicly traded complex healthcare organization. Focused on liquidity forecasting and preservation strategy, creditor communications and negotiations, divestiture, and consensual foreclosure.
- Served as financial advisor to a conglomerate of 23 skilled nursing facilities. Focused on 13-week cash flow projections, liquidity preservation, and negotiations with lenders and landlords for a successful replacement of the management company.
- Served as financial advisor to a security company with $1 billion in debt, focusing on liquidity management and development of long-term business plan.
