Mining Joint Venture
Governance Improvement
The shareholders and management team of high-performing JV operating company preparing for $3B in expansionary capital projects sought to review governance practices to make decision-making more efficient and improve shareholder alignment. Ankura benchmarked the joint venture against Ankura’s governance standards and developed a targeted set of recommended governance improvements. We then facilitated discussions among shareholders and management to gain endorsement for proposed changes and, upon gaining alignment on an approach, updated the JV board charter, committee charters, and other governance documents to reflect the agreed upon framework. The shareholders unanimously endorsed a set of recommendations and implemented the new framework.
