Joint Ventures & Partnerships
STRUCTURING JOINT VENTURES AND PARTNERSHIPS THAT DELIVER SYNERGIES, GROWTH, AND INNOVATION
Joint ventures and partnerships are critical tools for companies to rapidly innovate, access new markets, share risks, gain scale, and optimize operational costs. Every transaction promises significant value creation, but many of these deals fail to succeed for a variety of predictable reasons. We bring a comprehensive suite of consulting capabilities, data, expertise, and proprietary tools to help our clients structure and negotiate new joint ventures, diagnose and improve the performance of existing joint ventures, and restructure or terminate their joint ventures where appropriate.
For companies that regularly depend on joint ventures and partnerships, we also help build internal transaction, governance, and portfolio management capabilities that become a source of competitive advantage versus peers.
Our approach is honed from more than 500 engagements representing over $800 billion in transaction value across diverse sectors from natural resources and clean energy to financial services.

The Ankura Joint Venture Index®️
In the first half of 2024, joint venture and partnership deal volumes experienced a slight decline of about 2% compared to the high levels of H1 2023. Despite this, dealmakers remain active and increasingly creative, incorporating novel terms and structures to navigate geopolitical uncertainties, high interest rates combating inflation, and regulatory challenges. While there is a pause in the growth of joint ventures and partnerships, and a surge in venture restructurings, green energy dealmaking has slowed. The landscape is shaped by pressures from various factors, prompting innovative approaches in dealmaking despite the challenging environment.

Our Latest Thinking
Global Energy Company
Delivering Joint Venture Strategy & Alignment
A major energy company sought to consolidate its convenience store operations with an independent operator and distributor in a large geographic region. Ankura served as an independent, neutral advisor serving both parties. Ankura engaged deeply with both partners to identify the parties’ key short- and long-term financial, governance, control, and ownership interests and advised on implications on transaction structure. We then developed options and independent perspectives for key open deal terms, leveraging benchmarks and comparable transactions to bolster our views. We facilitated negotiations and translated the agreed upon terms into a term sheet. The deal closed and the partners consolidated their convenience store businesses in the target region.
The Ankura Difference
We understand that succeeding in joint ventures and partnerships requires a blend of hard facts and analysis, with an ability to align partners around a common vision and practical solutions that reflect their different interests and constraints. Our team comprises strategy consultants, transaction attorneys, and investment bankers with significant experience with joint ventures and partnerships – reflecting the unique skillset required to design and evolve these ventures. We also bring an unrivaled database of deal terms and governance practices in joint ventures and partnerships, as well as proprietary standards, which allow us to benchmark transaction structures and existing ventures, and thus better identify and build alignment around gaps and potential solutions.
